General Terms and Conditions

 

1. Definitions

In these general terms and conditions, the following definitions apply:

  • Search Summit: the sole proprietorship Search Summit, established in the Netherlands and registered with the Dutch Chamber of Commerce.
  • Client: the natural person or legal entity that enters into an agreement with Search Summit.
  • Services: all services offered by Search Summit, including but not limited to Google Ads management, online marketing consultancy, tracking and analysis.
  • Agreement: any agreement between Search Summit and the Client relating to the provision of services.

 

2. Applicability

  • These general terms and conditions apply to all offers, agreements, and services of Search Summit.
  • Deviations from these terms are only valid if agreed upon in writing.
  • The Client’s general terms and conditions are expressly rejected.

 

3. Offers and Agreements

  • All offers made by Search Summit are non-binding unless stated otherwise.
  • An agreement is concluded after written confirmation (email confirmation is sufficient).
  • Search Summit cannot be held to an offer if the Client could reasonably have understood that the offer contained an obvious mistake or error.

 

4. Performance of Services

  • Search Summit performs its services to the best of its knowledge and ability, based on an obligation of effort, not an obligation of result.
  • Search Summit is not responsible for decisions made by external platforms such as Google, Meta, or other advertising platforms.
  • The Client is responsible for providing complete and accurate information in a timely manner.

 

5. Results and Guarantees

  • Search Summit does not guarantee specific results, such as revenue, conversions, or positions.
  • Results depend in part on factors beyond the control of Search Summit, including market conditions, budgets, and competition.
  • Past results do not guarantee future outcomes.

 

6. Fees and Payment

  • All fees are exclusive of VAT, unless stated otherwise.
  • Invoices must be paid within 30 days of the invoice date, unless otherwise agreed.
  • In the event of late payment, Search Summit is entitled to suspend its services.
  • Any collection costs incurred shall be borne by the Client.

 

7. Duration and Termination

  • Agreements entered into for an indefinite period may be terminated in writing with one month’s notice, unless agreed otherwise.
  • Search Summit reserves the right to terminate the agreement with immediate effect in the event of non-payment or misuse of services.

 

8. Liability

  • Search Summit is only liable for direct damage resulting from intent or gross negligence.
  • Liability is limited to the amount paid out by the applicable liability insurance or, if no insurance payment is made, the invoice amount relating to the relevant assignment.
  • Search Summit is not liable for indirect damage, including consequential damage or loss of profit.

 

9. Intellectual Property

  • All materials, analyses, reports, and advice provided by Search Summit remain the intellectual property of Search Summit, unless agreed otherwise in writing.
  • These materials may not be reproduced or shared with third parties without prior written consent.

 

10. Confidentiality

  • Both parties are obliged to maintain confidentiality with regard to confidential information.
  • This obligation remains in force after termination of the agreement.

 

11. Privacy and Data Processing

  • Search Summit processes personal data in accordance with applicable privacy legislation.

12. Force Majeure

  • Search Summit is not obliged to fulfil any obligation if prevented from doing so due to force majeure.
  • Force majeure includes, but is not limited to, failures of third parties, internet outages, government measures, and illness.

 

13. Applicable Law and Disputes

  • All agreements are governed by Dutch law.
  • Disputes shall be submitted to the competent court in the Netherlands.

 

14. Amendments

Search Summit reserves the right to amend these general terms and conditions. The most current version is always available on the website.
